Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Omnia Theme product, website, admin panel, and associated services (collectively, the "Service") provided by STAR & MOUNTAINS SERVICES LTD ("Omnia", "we", "us", or "our"), a limited liability company registered in Cyprus. By purchasing, downloading, or using any part of our Service, you agree to be bound by these Terms in full.

1. Acceptance of terms

By completing a purchase or accessing the Omnia admin panel, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you do not agree to these Terms, you must not use the Service.

2. The product

Omnia is a premium Shopify theme built in Shopify's native Liquid language. It is sold as a digital product and delivered as a downloadable .zip file following payment confirmation. The theme is designed exclusively for installation on Shopify stores. Omnia Theme Ltd is not affiliated with, endorsed by, or otherwise connected to Shopify Inc.

Your licence grants you the right to install and use the theme on a single Shopify store (Standard licence). You may not resell, redistribute, sublicense, or share the theme files with any third party under any circumstances.

3. Licence and intellectual property

Upon successful payment, Omnia grants you a non-exclusive, non-transferable, perpetual licence to use the theme on the number of stores specified by your plan.

You may customise the theme for your own store. You may not: remove or alter any copyright notices embedded in the theme; represent the theme as your own original work; use the theme to build or develop a competing product; or make the theme files publicly available by any means including file-sharing platforms, GitHub repositories, or third-party marketplaces.

4. Payments and pricing

All prices are displayed in United States Dollars (USD). Payments are processed securely through Stripe. By providing payment information you authorise us to charge the applicable fees at the time of purchase. Prices are subject to change, but changes will not affect completed purchases.

As a digital product business registered in Cyprus and operating within the European Union, we are required to collect applicable VAT on sales to customers in EU member states and other applicable jurisdictions. The applicable tax will be calculated and displayed at checkout based on your billing location. Non-EU customers may be subject to local import taxes or digital services taxes depending on their jurisdiction, for which they remain solely responsible.

5. Delivery

The theme is delivered digitally as a downloadable .zip file. A download link and licence key are sent to the email address provided at checkout immediately following payment confirmation. It is your responsibility to ensure the email address provided is accurate and that communications from omniatheme.com are not filtered as spam. Omnia accepts no liability for failed delivery caused by incorrect email addresses, email filtering, or factors outside our reasonable control.

6. Updates

Standard and Pro licence holders receive theme updates for twelve (12) months from the date of purchase. Updates are delivered via the Omnia admin panel. Following the twelve-month update period, you retain full perpetual use of the version of the theme downloaded during the update window, but will not receive further updates without purchasing a renewal or new licence. Omnia reserves the right to determine what constitutes an update at its sole discretion.

7. Support

Support is provided in English only via email support@omniatheme.com . Omnia does not provide support for customisations beyond the theme's standard documented functionality, third-party Shopify app conflicts, or issues arising from modifications made to the theme code by the customer or any third party acting on their behalf.

8. AI Store Builder

The AI Store Builder feature generates personalised section recommendations based on questionnaire answers submitted by the customer. The recommendations are provided as a convenience tool and for informational purposes only. Omnia makes no representation or warranty that following any AI-generated recommendation will result in any specific conversion rate, revenue outcome, or business result. The AI Store Builder does not constitute professional marketing, design, or business advice of any kind.

9. Right of withdrawal

By purchasing an Omnia product, you acknowledge that you are aware of your statutory right to withdraw from a distance purchase within fourteen (14) days of the date of purchase without providing any reason, as provided under applicable EU consumer protection law including the Consumer Rights Directive 2011/83/EU as implemented in Cyprus.

However, by completing your purchase and accessing the digital content — including downloading the theme file or activating your licence key — you confirm that you have expressly requested immediate delivery of the digital content and you thereby waive your right of withdrawal from that moment. You acknowledge that once delivery of the digital content has commenced, the right of withdrawal no longer applies in accordance with Article 16(m) of the Consumer Rights Directive 2011/83/EU.

10. Refund policy

10.1. All sales of Omnia products are final. Upon completing a purchase, you receive immediate access to a downloadable theme file and a valid licence key. Due to the instant and irrevocable nature of digital product delivery, Omnia operates a strict no-refund policy. No refunds, exchanges, or credits will be issued once a purchase has been completed.

10.2. By proceeding with your purchase, you expressly acknowledge and agree that: the digital content is delivered immediately upon payment; you have had sufficient opportunity to review the product description, feature list, and demonstration materials prior to purchase; and you accept that all sales are final on this basis.

10.3. Omnia does not issue refunds in any of the following circumstances, including but not limited to: change of mind after purchase; failure to achieve expected business, revenue, or conversion results; difficulty installing or customising the theme; incompatibility with third-party Shopify apps; issues arising from modifications made to the theme code; dissatisfaction with AI Store Builder recommendations; or any other circumstance not constituting a material breach on Omnia's part.

10.4. In the event that Omnia determines, at its sole discretion, that a purchase was made in demonstrable error — such as a verified duplicate transaction — Omnia may, but is not obligated to, issue a credit or alternative resolution on a case-by-case basis. This does not constitute a general entitlement to a refund.

10.5. Nothing in this section is intended to exclude or limit any mandatory rights you may hold under applicable EU consumer protection legislation that cannot lawfully be excluded or restricted.

11. Prohibited uses

You agree not to use the Service to: violate any applicable laws or regulations; infringe the intellectual property rights of any third party; transmit harmful, fraudulent, offensive, or misleading content through stores built with the theme; attempt to reverse-engineer, decompile, or extract the underlying source code for any purpose beyond personal customisation; or use automated tools to access the admin panel, download systems, or API endpoints in an unauthorised manner.

12. Disclaimers and limitation of liability

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Omnia does not warrant that the theme will be error-free, uninterrupted, or free from security vulnerabilities at all times. To the maximum extent permitted by applicable law, Omnia's total aggregate liability to you for any claim arising from your use of the Service shall not exceed the total amount you paid for your licence in the twelve months preceding the event giving rise to the claim.

Omnia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business opportunity, or loss of profits, even if Omnia has been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Omnia Theme and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of Cyprus, without prejudice to any mandatory consumer protection rights you may hold under the laws of your country of residence within the European Union.

15. Changes to these terms

Omnia reserves the right to update or amend these Terms at any time. Material changes will be communicated via email to the address associated with your account at least fourteen (14) days before taking effect. Your continued use of the Service following the effective date of any changes constitutes your acceptance of the updated Terms.
